BILDistribution Terms
These terms apply to authorized B2B distributors of BILBERRY AI companion robots. They are a summary; the binding agreement is signed per market.
Parties
BILBERRY AI (the Manufacturer) and the authorized distributor (the Partner) are independent businesses. Nothing here creates employment or agency.
Appointment
We appoint the Partner as a distributor of the products in the agreed territory. The Partner may resell only to verified business customers.
Territory
Territory is defined by country or region in the signed agreement. Exclusive rights require minimum purchase commitments to remain active.
Pricing & MOQ
Prices are ex-factory (EXW/FOB Shenzhen). MOQ tiers: Reseller 10, Exclusive 50 per quarter, OEM 200 per batch. Final bands are set per market.
Obligations
The Partner markets the products under the brand guidelines, provides local support and after-sales, and reports pipeline periodically.
Intellectual Property
Trademarks, designs and software remain Manufacturer property. The Partner may not alter branding except under OEM or private-label terms.
Compliance
Products are for adult (18+) B2B markets. The Partner is importer of record and is solely responsible for local product, advertising and import law, and for age-of-sale rules. We do not authorize sales where such products are prohibited.
Term & Termination
The agreement runs for a defined term and may end for breach or unmet commitments with written notice.
Liability
Each party is liable only for its own acts. The Manufacturer is not liable for the Partner's local compliance failures.
Governing Law
The agreement is governed by the law stated in the signed contract. Disputes are resolved by the agreed forum.
